1. About these terms
These terms apply to the use of northkindigital.com and to services provided by Northkin Digital, a sole proprietorship registered in Ontario, Canada. Where a signed proposal, quote, or written agreement covers a specific project, that document takes precedence over these terms to the extent of any conflict.
2. Our services
We provide website design, WordPress development, website redesign, website maintenance, SEO foundations, website copywriting, and related content and technical services as described on this website. Descriptions on this site are for general information; the precise scope of your project is defined in your written quote.
Northkin is operated by a core team and may engage specialist designers, developers, writers, and other subcontractors to carry out parts of a project. We remain responsible for managing that work and for the deliverables you receive.
3. Quotes and scope
Quotes are based on the requirements known at the time they are issued and are valid for 30 days unless stated otherwise. Work outside the agreed scope – additional pages, additional functionality, or substantially changed requirements – will be quoted separately and confirmed in writing before it is carried out.
4. Payment terms
Project work generally requires a deposit before work begins, with the balance due as set out in your quote. [Confirm your standard deposit percentage and milestone schedule.] Maintenance plans are billed monthly in advance. Invoices are payable within [15/30] days of issue. All prices are quoted in Canadian dollars unless stated otherwise, and are exclusive of applicable taxes. 5. What we need from you
Delivering a project on time depends on your input. You agree to provide content, images, access credentials, feedback, and approvals within a reasonable period, and to ensure you hold the necessary rights to any material you supply to us.
You are responsible for the accuracy of technical specifications, product information, pricing, and claims you provide. We will not alter approved technical content without your instruction, and we do not verify its accuracy.
6. Timelines
Estimated timelines are provided in good faith and assume timely feedback and content from your side. Delays in supplying material, approvals, or access will extend the schedule accordingly. We will tell you when this happens rather than let a deadline pass silently.
7. Revisions
Your quote specifies the number of revision rounds included. Additional rounds, or changes requested after a stage has been approved in writing, may be chargeable at our standard rate. We will always tell you before additional charges are incurred.
8. Third-party services
Websites we build may rely on third-party services including hosting providers, domain registrars, plugins, themes, fonts, analytics tools, and payment processors. These are governed by their own terms and pricing. We are not responsible for changes to, outages of, or discontinuation of third-party services, though we will help you respond to them.
9. Ownership and intellectual property
On full payment, you own the final website design, custom code produced specifically for you, and the content you supplied or paid us to produce. Third-party components – themes, plugins, stock imagery, fonts – remain licensed under their own terms and are not transferred to you. We retain ownership of our general know-how, internal tools, and any preliminary concepts not selected for use. Until an invoice is paid in full, deliverables remain our property. We may describe the work and display it in our portfolio only with your prior written permission, including any use of your name, logo, or screenshots.
10. Maintenance plans
Maintenance plans run month to month and may be cancelled by either party with 30 days’ written notice. Plans cover the tasks listed on the Website Maintenance page and any monthly content allowance stated in your agreement. Work beyond that allowance is quoted separately. On cancellation we will hand over backups and access details in a usable form.
11. Warranties and disclaimers
We warrant that our services will be performed with reasonable skill and care. We will correct defects in our work reported within 30 days of launch at no charge.
We do not warrant that the website will be uninterrupted or error-free, that it will achieve any particular search engine ranking, or that it will produce any particular volume of enquiries, traffic, or revenue. Any figures discussed are illustrative and are not guarantees.
12. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to a project is limited to the total fees paid by you for that project. We are not liable for indirect or consequential loss, including lost profits, lost business, lost data, or loss of goodwill. Nothing in these terms excludes liability that cannot lawfully be excluded.
13. Cancellation and termination
Either party may terminate a project with written notice. If you terminate, you remain liable for work completed and costs committed up to the date of termination, including subcontractor fees already incurred. Deposits are non-refundable once work has begun.
14. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The courts of Ontario have exclusive jurisdiction over any dispute arising from them.
